1. Acceptance of Terms & Capacity

By accessing, browsing, subscribing to, or utilizing the software, APIs, hosted services, or content available on or through Clippr AI (accessible at https://clippr.studio and operated by CyberMonarch Autonomous Technologies, hereafter "Clippr", "we", "us", or "our"), you ("User", "you", or "Licensee") agree to be bound by these Terms of Service ("Terms") and our incorporated Privacy Policy, DMCA Policy, and Transformative Use Disclaimer.

If you are entering into this agreement on behalf of a company, creator agency, or other legal entity, you represent and warrant that you possess full legal authority to bind such entity. If you do not agree unconditionally to all provisions set forth herein, you are strictly prohibited from using the platform and must immediately cease all access.

2. Transformative AI Software Utility & License

Clippr provides autonomous neural video analysis, streamer moment curation, dynamic vertical reframing (1080x1920 60FPS dual-stack), kinetic ASS subtitle authoring, and commentary orchestration software ("Software").

Subject to continuous compliance with these Terms and receipt of applicable subscription fees via our Merchant of Record (Whop), Clippr grants you a revocable, non-exclusive, non-transferable, worldwide license to utilize the Software solely for lawful content creation, transformation, commentary, and editorial publishing.

3. Intellectual Property, Copyright & Fair Use Doctrine

Clippr operates strictly as a transformative commentary and audio-visual engineering workstation under Section 107 of Title 17 of the United States Code (17 U.S.C. § 107 — Fair Use Doctrine). Clippr does not claim ownership over raw underlying broadcast footage or public streams owned by third-party streamers or game publishers.

User Warranty: You acknowledge that you bear exclusive responsibility for any editorial commentary, video clips, or content you export and distribute across third-party networks (YouTube Shorts, TikTok, Instagram Reels, Twitch, Kick). You warrant that your public distribution constitutes protected transformative critique, parody, educational commentary, or fair use, and does not violate any third-party trademark or publicity right.

4. Prohibited Uses & Community Integrity

You strictly agree not to use Clippr or any rendered outputs to:

• Generate, disseminate, or promote defamatory, hateful, abusive, obscene, or harassing content targeting any individual, creator, or protected class.
• Produce non-consensual deepfakes, deceptive impersonations, or misleading synthetic voice likenesses intended to commit fraud or identity manipulation.
• Circumvent, decompile, reverse engineer, or probe security safeguards or rate limits of the platform or local GPU nodes.
• Distribute or monetize video content involving any creator who has exercised an official opt-out under our Creator Takedown Protocol.

5. Complete Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE SOFTWARE, API ENDPOINTS, RENDER ENGINES, PRE-COMPILED SOUND PACKS, AND PLATFORM INFRASTRUCTURE ARE PROVIDED SOLELY ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. CLIPPR EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. CLIPPR DOES NOT WARRANT THAT VIDEO OUTPUTS WILL ACHIEVE SPECIFIC VIEWERSHIP, MONETIZATION STATUS, OR IMMUNITY FROM THIRD-PARTY ALGORITHMIC STRIKES.

6. Strict Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL CLIPPR AI, CYBERMONARCH, ITS OPERATORS, DIRECTORS, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, REPUTATION, GOODWILL, OR THIRD-PARTY ACCOUNT SUSPENSIONS / COPYRIGHT STRIKES ACROSS YOUTUBE, TIKTOK, OR TWITCH), REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE LIABILITY CEILING: IN NO EVENT SHALL CLIPPR'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), OR (B) THE TOTAL FEES PAID BY YOU TO CLIPPR VIA WHOP IN THE PRECEDING THIRTY (30) DAYS.

7. Indemnification

You agree to defend, indemnify, and hold harmless Clippr AI, CyberMonarch, and its respective officers, directors, contractors, and agents from and against any third-party claims, suits, liabilities, damages, settlements, losses, penalties, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your breach of these Terms; (b) any content, videos, or commentary rendered or published by you; (c) any violation of third-party intellectual property or privacy rights; or (d) any violation of the Terms of Service of YouTube, TikTok, Twitch, Kick, or Whop.

8. Mandatory Individual Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT WAIVES YOUR RIGHT TO SUE IN COURT OR PARTICIPATE IN A CLASS ACTION.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Software, or your relationship with Clippr shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

CLASS ACTION WAIVER: YOU AND CLIPPR EXPRESSLY AGREE THAT ALL CLAIMS SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, MASS, OR REPRESENTATIVE PROCEEDING.

9. Merchant of Record, Billing & 30-Day Guarantee

All subscriptions, digital software licenses, and access tier purchases are processed by our authorized Merchant of Record, Whop Inc., which acts as the seller of record for billing, card security, and statutory sales tax remittance. All purchases are governed by our guaranteed 30-day money-back satisfaction policy as administered through Whop Customer Protection.
